The terms governing your use of this website and your engagement of SDE Investments LLC.
1. Scope
These Terms govern use of the Site and its informational content. Any advisory, management, fiduciary, escrow, custody, or transfer-agency relationship is established only by a separate written agreement executed by both parties. Nothing on this Site creates an advisory, fiduciary, agency, or client relationship between you and us.
2. Description of Services
The firm operates three divisions: (a) principal dealing on own account — tax lien dealing, mineral and oil royalty and lease dealing, mortgage dealing, securities speculation, investment clubs, venture capital, and viatical settlements; (b) customized, client-paid advisory and management — certified financial planning, investment advice consulting and counseling, and management of investment, mutual, pension, private equity, and portfolio funds and personal investment trusts; and (c) fiduciary and market services — estate administration, nondepository trust company functions, escrow and fiduciary agency, securities custody, stock and securities transfer agency, securities holders' protective services, stock quotation services, deposit and oil/gas lease broking, crowdfunding raise administration, and clearinghouse coordination for securities, commodities, and virtual-currency exchanges. Site descriptions are summaries only; terms of any engagement are defined solely in its written agreement.

TO THE FULLEST EXTENT PERMITTED BY LAW, SDE INVESTMENTS LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, DATA, OR GOODWILL, OR INVESTMENT LOSSES — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE OR RELIANCE ON ITS CONTENT. OUR TOTAL LIABILITY ARISING FROM SITE USE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
12. Indemnification
You agree to defend, indemnify, and hold harmless SDE Investments LLC and its members, managers, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Site.
13. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules. Disputes arising from these Terms or the Site shall be brought exclusively in the state or federal courts located in or serving Sacramento County, California, and you consent to their personal jurisdiction.
14. Severability and Waiver
If any provision is held invalid or unenforceable, the remainder of these Terms continues in effect. Failure to enforce any right is not a waiver of it.
15. Changes to These Terms
We may revise these Terms at any time by posting an updated version here. The "Last Updated" date reflects the latest revision; continued Site use after changes constitutes acceptance.
